1. Acceptance of Terms
By creating an account, accessing, or using Electrical Change Orders™ (the “Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you may not use the Service. We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
2. Description of Service
Electrical Change Orders™ is a web-based software application designed for electrical contractors to process construction change order documents. The Service uses proprietary artificial intelligence, workflows, templates, and processing logic to extract data from uploaded documents and generate structured change order outputs including scope narratives, material takeoffs, labor estimates, risk assessments, and proposal packages.
3. Account Registration and Security
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
Account sharing is prohibited. Each subscription is licensed to the number of users specified in your plan tier. Sharing login credentials or allowing unauthorized individuals to access the Service through your account is a violation of these Terms and may result in immediate termination of your account.
4. Subscription Plans and Payment
The Service is offered through subscription plans with defined usage limits. Payment is processed through Stripe, Inc. By subscribing, you authorize recurring charges according to your selected plan and billing interval. You may cancel your subscription at any time through the billing portal.
Bypassing, circumventing, or attempting to exceed usage limits defined by your subscription plan (including but not limited to active job limits, change order package limits, document extraction limits, and user seat limits) is prohibited and may result in account suspension or termination.
5. Intellectual Property and Ownership
The Service, including all software, source code, algorithms, AI models, prompts, processing logic, workflows, templates, scoring methods, formulas, user interface designs, documentation, and all related intellectual property, is the exclusive property of Electrical Change Orders™ and is protected by applicable copyright, trade secret, and intellectual property laws.
Your Content: You retain ownership of the documents you upload and the data you input into the Service. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service to you.
Our Outputs: The structured outputs generated by the Service (including narratives, takeoffs, risk assessments, labor estimates, and proposal packages) are generated using our proprietary logic and are licensed to you for your internal business use only. You may not resell, redistribute, or sublicense these outputs as a competing product or service.
6. Prohibited Conduct
You agree that you will not, and will not permit any third party to:
- Copy or reproduce the software, source code, user interface, or any component of the Service in whole or in part
- Reverse engineer, decompile, or disassemble any part of the Service, including but not limited to attempting to derive source code, algorithms, data structures, or processing logic
- Scrape, crawl, or use automated extraction tools to collect data, content, or outputs from the Service
- Use the Service to train, develop, or build a competing product, service, or AI model, whether directly or indirectly
- Reproduce proprietary templates, workflows, prompts, scoring methods, or outputs as part of a competing product or service
- Access nonpublic APIs, endpoints, or administrative interfaces not intended for your use
- Attempt to extract, reconstruct, or derive source code, AI prompts, processing formulas, risk scoring logic, labor adjustment algorithms, market benchmark formulas, or any other backend logic
- Resell, sublicense, or redistribute access to the Service or any outputs generated by the Service
- Share account credentials or allow unauthorized users to access the Service through your account
- Bypass or circumvent usage limits, rate limits, access controls, or security measures implemented in the Service
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Remove, alter, or obscure any copyright, trademark, or proprietary notices from the Service
7. Confidentiality of Proprietary Logic
The AI prompts, extraction logic, risk scoring algorithms, labor adjustment formulas, market benchmark calculations, workflow rules, and all other processing logic used by the Service constitute trade secrets and confidential information of Electrical Change Orders™. You acknowledge that this proprietary logic has independent economic value and agree to treat it as confidential. Any unauthorized access, disclosure, or use of this proprietary logic may result in immediate termination of your account and may subject you to legal action for misappropriation of trade secrets and other applicable claims.
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in the Privacy Policy.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. THE OUTPUTS GENERATED BY THE SERVICE, INCLUDING SCOPE NARRATIVES, TAKEOFFS, LABOR ESTIMATES, AND RISK ASSESSMENTS, ARE GENERATED BY ARTIFICIAL INTELLIGENCE AND SHOULD BE REVIEWED BY QUALIFIED PROFESSIONALS BEFORE USE IN ANY CONSTRUCTION PROJECT, BID, OR PROPOSAL. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR SUITABILITY OF ANY OUTPUT FOR ANY PARTICULAR PURPOSE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELECTRICAL CHANGE ORDERS™ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Electrical Change Orders™, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Sections 5, 6, 7, 9, 10, 11, and 13 shall survive termination of these Terms.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Colorado.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
15. Entire Agreement
These Terms, together with the Privacy Policy and any subscription agreement, constitute the entire agreement between you and Electrical Change Orders™ regarding your use of the Service and supersede all prior agreements and understandings.
